These Terms and Conditions ("Terms", "Terms and Conditions") govern your relationship with the Nova Forge Design Consultancy website and services operated by Nova Forge Design Consultancy ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

2. Intellectual Property Rights

Our Content

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Nova Forge Design Consultancy and its licensors. The Service is protected by copyright, trademark, and other laws of both Hong Kong and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Nova Forge Design Consultancy.

Your Content

By submitting, posting, or displaying any content on or through our Service, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, and distribute such content in connection with the Service. You represent and warrant that you have all the rights, power, and authority necessary to grant the rights granted herein to any content that you submit.

3. Client Responsibilities

When you engage our consulting services, you agree to:

Provide accurate and complete information necessary for the project
Respond promptly to requests for feedback, information, or approvals
Ensure you have all necessary rights to any materials, content, or intellectual property you provide to us
Make timely payments as specified in your service agreement
Participate actively in the design and development process as needed

4. Service Agreements and Payments

Specific services provided by Nova Forge Design Consultancy are governed by separate service agreements that will be provided to you upon engagement. These service agreements will outline:

Scope of work and deliverables
Timeline and milestones
Payment terms, fees, and schedule
Intellectual property ownership of deliverables
Confidentiality obligations
Warranties and representations
Limitation of liability

In the absence of a separate signed agreement, the following payment terms apply:

A 50% deposit is required before work commences on any project
The remaining 50% is due upon completion and before final deliverables are released
All fees are quoted in USD unless otherwise specified
Payments are non-refundable once work has commenced

5. Cancellation and Refund Policy

Consultation bookings: Free consultations may be rescheduled with at least 24 hours' notice. No-shows may be charged a cancellation fee for subsequent bookings.
Project cancellations: If you cancel a project after work has begun, you are responsible for payment for all work completed up to the cancellation date. No refunds will be issued for work already performed.
Retainer services: Monthly retainers may be canceled with 30 days' written notice. Fees are non-refundable for the current billing period.

6. Limitation of Liability

To the maximum extent permitted by law, in no event shall Nova Forge Design Consultancy, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount you paid us during the twelve months preceding such claim.

7. Indemnification

You agree to defend, indemnify, and hold harmless Nova Forge Design Consultancy and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service; b) your violation of any term of these Terms; c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or d) any claim that your content caused damage to a third party.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
